Terms of Service

These Terms of Service ("Terms") govern your use of BidMarshall ("the Service"), operated by BidMarshall ("we", "us"). By creating an account or using the Service, you agree to these Terms.

1. The Service

BidMarshall is an AI-assisted bid and RFP response platform for small government contractors. The Service provides bid discovery, opportunity tracking, and AI-assisted proposal drafting tools. The Service is provided on a subscription basis; features vary by plan.

The Service assists with drafting and research, but you are responsible for the accuracy, completeness, and compliance of every proposal you submit. BidMarshall does not guarantee that you will win any contract.

2. Accounts

• You must provide accurate information when creating an account and keep it up to date.
• You are responsible for all activity under your account and for keeping your credentials confidential.
• Seats are licensed per plan; you may not share a single seat among multiple people.
• You must be at least 18 years old and authorized to bind your organization to these Terms.

3. Acceptable use

You agree not to:

• use the Service for any unlawful purpose or to submit fraudulent proposals,
• upload content you have no right to use, or content that is malicious (malware, exploits),
• attempt to probe, disrupt, or reverse-engineer the Service or its infrastructure,
• scrape or bulk-export bid data beyond what your plan permits, or
• misrepresent AI-generated drafts as independently verified work where disclosure is required by a solicitation.

You retain ownership of the content you upload and the proposals you create. You grant us a limited license to process that content solely to operate the Service for you.

4. Payment and subscriptions

• The Service is billed in advance on a monthly or annual basis. Annual billing includes two months free.
• Fees are non-refundable except as required by law. You may cancel at any time; cancellation takes effect at the end of the current billing period.
• We may change prices with at least 30 days' notice before your next renewal.
• Failed payments may result in suspension of access until resolved.

5. Beta and promotional pricing

• During the beta period, the Service is free and no payment method is required.
• Before we charge you anything, we will give you at least 30 days' notice, and you must opt in to a paid plan.
• Waitlist members designated as founding members lock in the then-current listed rates for twelve (12) months from their paid start date.

6. Termination

You may close your account at any time. We may suspend or terminate your access if you breach these Terms, with notice where practicable. Upon termination, your right to use the Service ends; we will retain and then delete your data as described in our Privacy Policy.

7. Disclaimers

The Service is provided "as is" and "as available". We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that bid opportunity data is complete or error-free, or that AI-generated content is accurate or compliant with any solicitation. The Service does not provide legal advice; consult qualified counsel on solicitation compliance.

8. Limitation of liability

To the maximum extent permitted by law, BidMarshall will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenues, or lost contracts. Our total liability for any claim arising out of these Terms or the Service is limited to the greater of one hundred US dollars (US$100) or the amounts you paid us in the twelve (12) months preceding the claim. Nothing in this section limits liability for our gross negligence or willful misconduct, or any other liability that cannot be limited by law. If any remedy fails of its essential purpose, the limitations in this section will continue to apply to the maximum extent permitted by law.

9. Governing law

These Terms are governed by the laws of [State of incorporation], United States, without regard to conflict-of-law rules. Any disputes will be resolved in the state or federal courts located in [County, State], and the parties consent to their jurisdiction.

10. Miscellaneous

• Severability. If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.
• Entire agreement. These Terms, together with the Privacy Policy, are the entire agreement between you and BidMarshall regarding the Service.
• Assignment. You may not assign these Terms without our prior written consent, except that we may assign them to a successor in connection with a merger, acquisition, or sale of substantially all of our assets.
• No third-party beneficiaries. These Terms do not create any rights in any person other than you and BidMarshall.
• Export control. You agree to comply with applicable US export-control and sanctions laws and will not use or access the Service in violation of them.

11. Changes to these Terms

We may update these Terms from time to time. We will post the updated version here with a new effective date and, for material changes, notify account holders by email at least 14 days before the changes take effect.
